Terms of Service

These Terms of Service (“Terms”) govern access to and use of Evalgent (“Services”), a product of Deepesh Jayal, incorporated under the laws of India (“we”, “us”, or “our”). If you do not agree to these Terms, do not use the Services. We may update these Terms at any time; continued use after notice of changes constitutes acceptance.
1. The Service and AI-Generated Outputs
We provide an AI-powered evaluation and testing platform for software and automation systems. The Services are intended for business use only and are not tailored to comply with any industry-specific regulations (including HIPAA, FISMA, or equivalent frameworks). You must not use the Services where such compliance is legally required.
The Service uses artificial intelligence and machine learning to produce outputs based on your inputs (“Outputs”). AI systems are probabilistic and may produce inaccurate, incomplete, or unexpected results. Outputs are provided for informational and decision-support purposes only. We make no guarantee as to their accuracy or fitness for any purpose. You are solely responsible for how you use Outputs.
2. Account and Eligibility
You must be at least 18 years old and legally capable of entering contracts. If acting on behalf of an organisation, you confirm you have authority to bind it. You are responsible for all activity under your account and must notify us immediately at hello@evalgent.com of any suspected unauthorised access. The Services are intended for use in India and other jurisdictions where permitted by law. Users in countries subject to international sanctions are not permitted to access the Services.
3. Subscriptions
Subscriptions renew automatically unless cancelled. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. Your billing cycle depends on the plan you select. You may cancel at any time; cancellation takes effect at the end of the current term. We may change fees at any time with reasonable notice.
4. Intellectual Property
We own all rights in and to the Services, including our software, platform, methodologies, and marks. You are granted a limited, non-exclusive, non-transferable, revocable licence to access the Services for your internal business purposes during your subscription term only.
You retain ownership of data and materials you submit (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide the Services. Outputs generated by the Services using your Customer Data are owned by you. Feedback or suggestions you share with us may be used by us freely without obligation.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful or harmful purpose;
- Reverse engineer, copy, or redistribute any part of the Services;
- Upload content that infringes third-party rights or violates applicable law;
- Attempt unauthorised access to the Services or related systems;
- Resell or sublicense the Services without our written consent.
6. Data and Privacy
We handle Customer Data in accordance with our Privacy Policy. You are responsible for ensuring you have the legal right to submit any data, including personal data, to the Services. We may use aggregated, anonymised data to improve our Services.
7. Third-Party Services
The Services may depend on or integrate with third-party providers. Their use is subject to their own terms. We are not responsible for their availability, accuracy, or conduct.
8. Term and Termination
These Terms remain in effect for the duration of your active subscription. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access immediately for material breach, non-payment, or where required by law. On termination, your licence ends and we will endeavour to delete your Customer Data within thirty (30) days, except where retention is required by law, regulation, or legitimate backup and recovery processes.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available” without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Evalgent shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or data. Our total liability for any claim shall not exceed the fees paid by you in the three (3) months preceding the claim, or INR 10,000, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless Deepesh Jayal and its personnel from any claims, losses, or expenses (including legal fees) arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved informally by contacting us at hello@evalgent.com. If unresolved, disputes shall be settled by binding arbitration under the exclusive jurisdiction of courts in India. All disputes must be resolved on an individual basis only — class actions and collective claims are not permitted.
13. Confidentiality
Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties except as needed to perform under these Terms or as required by law. This obligation survives termination for three (3) years.
14. Electronic Agreement
By accessing or using the Services, clicking “I agree”, or otherwise indicating acceptance, you acknowledge that you have read and agreed to these Terms. Such acceptance constitutes a valid electronic signature and legally binding agreement under the Information Technology Act, 2000 (India) and applicable law.
15. General
These Terms, together with any Order Form and our Privacy Policy, are the entire agreement between the parties. If any provision is unenforceable, it will be modified to the minimum extent necessary; the rest remains in effect. These Terms are governed by the laws of India. We may assign these Terms in connection with a merger or acquisition. You may not assign without our written consent. Neither party is liable for delays caused by circumstances beyond their reasonable control.
